This contest is sponsored by the NARS Cosmetics division of Shiseido Americas Corporation, 390 Madison Avenue, New York, NY 10017 (“NARS” or “Sponsor”).

Eligibility

This contest is open to legal residents of the fifty (50) states of the United States and the District of Columbia who are eighteen (18) years of age or older as of the date and time of entry. All federal, state and local laws and regulations apply. Employees, representatives or agents of Shiseido Americas Corporation, its parent, subsidiaries and/or affiliates, and their respective advertising agencies, public relations agencies and their immediate family members and individuals with whom those employees, representatives or agents reside are not eligible. Failure to comply with all rules and regulations associated with the Contest could result in disqualification from the Contest. Sponsor reserves the right to, in its sole discretion, cancel, modify or suspend this Contest for any reason.

How To Enter

Entries will be accepted from 12:01 a.m. ET on Monday, July 31, 2023 through 11:59 p.m. PT on Tuesday, August 1, 2023 (the “Contest Entry Period”). No purchase is necessary to enter. BY ENTERING, ENTRANT ACKNOWLEDGES THAT HIS/HER ENTRY MAY BE POSTED ON THE SPONSOR’S WEBSITE, OR SOCIAL MEDIA PAGES/FEEDS, IN COMPANY’S DISCRETION. Entries not in compliance with these official rules may be disqualified, in Sponsor’s sole discretion. Entries generated by a script, macro, bot or any other automated means will be deemed void. Proof of submission of an entry shall not be deemed proof of receipt by the Sponsor. By participating, you agree to these Official Rules, which are final and binding in all respects. Entry must be the original work of the entrant; may not have been used publicly previously by any third party; must not infringe any third-party’s rights; must be suitable for publication (i.e., may not be obscene or indecent); must not contain obscene or pornographic material; may not contain defamatory statements; may not invade privacy, publicity or other rights of any person, firm or entity; may not in any other way violate applicable laws and regulations; may not contain any reference to any third party trademarks, names or third party logos; and may not contain any copyrighted works owned by third parties. Entries that are deemed by the Sponsor, in its sole discretion, to be in violation of these Official Rules or to be otherwise infringing, harmful, inappropriate, defamatory, or generally not in keeping with the image of Sponsor, will be rejected and will not be eligible to participate in the Contest. Entrant acknowledges and agrees that such decisions of Sponsor are final and binding. By submitting an Entry, you warrant and represent that you have obtained permission from any person(s) whose name or likeness is used in the Entry.

Anticipated Winner Selection: The winner will be notified by Monday August 7, 2023 5PM ET

Prize

Three (3) winners will each receive:

• Assortment of NARS Orgasm cosmetic products (Estimated approximate retail value: $100 USD)

No substitution, cash redemption or transfer of any prize, but Sponsor reserves the right to substitute the Prize package with a prize of equal or greater value if an advertised prize becomes unavailable for any reason. Limit one (1) prize per person. Expenses not stated are solely the winner's responsibility. If a winner cannot accept prize in accordance with these Official Rules, prize will be forfeited in its entirety to an alternate winner selected from the remaining eligible entries. All federal, state and local taxes are the sole responsibility of the winner. Sponsor will not replace any lost or stolen prizes. Winner agrees that any prizes are personal to that applicable winner, and may not be sold, resold, auctioned, bartered, assigned, exchanged, placed in commerce, transferred, given away, donated or otherwise conveyed.

Judging

This is a game of skill. Each Entry will be evaluated and scored based on the following "Criteria": (i) 30% originality, (ii) 20% for creativity; (iii) 50% for content quality; and (iv) adherence to the Official Rules. The three (3) valid entries with the highest judged score will be deemed the potential prize winners. The ten (10) valid entries with the next highest judged scores will be deemed the potential runner-up winners. Chance plays no part in how the winners will be selected.

Sponsor has engaged Global Social Media team members to manage and judge submissions. At times during the Contest, a NARS Global Social Media representative may contact an entrant for customer service purposes. By entering, all participants agree to receive phone calls and emails from a member of the NARS Global Social Media Team.

Tie-breaker:

In the event of a tie, the judges will re-evaluate the tied entries according to the Criteria and the tied entries will be put up for a re-vote amongst the judges until the tie is broken.

Decisions of the judges are final and binding. If a potential winner is unable for whatever reason to accept their prize, then Sponsor reserves the right to award the prize to another entrant.

Winner Selection

Three (3) Prize winners will be selected by Global Social Media team members under the supervision of the Sponsor from all eligible entries. Winners will be selected on or about August 7, 2023.

Winner Notification

The winners will be notified via e-mail within six (6) days of the selection. The winners must respond to the e-mail sent by Sponsor to acknowledge receipt of the prize. If no response is obtained from a winner within five (5) calendar days of the original e-mail notification, the Prize will be awarded to a replacement winner (the “Replacement Winner”) selected from the remaining eligible entries. The Replacement Winner will be notified via e-mail within forty-eight (48) hours of the replacement selection. If no response is obtained from the Replacement Winner within five (5) calendar days of the original e-mail notification, the Prize will be awarded to a second replacement winner (the “Second Replacement Winner”) selected from the remaining eligible entries using the same notification procedures and deadline to claim the prize as set forth for the Replacement Winner. If no response is obtained from the Second Replacement Winner within five (5) calendar days of the e-mail notification, the Prize will be awarded to a third replacement winner (the “Third Replacement Winner”) selected from the remaining eligible entries using the same notification procedures and deadline to claim the prize as set forth for the Replacement Winner. If no response is obtained from the Third Replacement Winner within five (5) calendar days of the e-mail notification, no prize will be awarded. Each potential Prize winner will be required to execute an affidavit of eligibility and liability/publicity release and Form W9 as a condition of being awarded the Prize. All decisions of the Sponsor are final and binding and are not subject to mediation or litigation of any kind. The winner(s) may be required to sign a standard release form and affidavit of eligibility and compliance with the Official Rules, to be provided shortly after notification of winning, to claim the prize. The prize is non-transferable and non-assignable. Sponsor reserves the right to verify that the winner is eligible and qualified to receive his/her prize and may revoke any prize awarded or designated to a person found ineligible.

Limitation of Liability

NARS and its affiliates, partners, sponsors and subsidiaries have no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession, or use of the prize. NARS and its partners, sponsors and subsidiaries assume no liability for lost or misdirected submissions whether due to technical or computer malfunctions or other reasons. NARS assumes no liability for technical or computer malfunctions of any kind.

General Release

By participating, entrants release NARS and its affiliates, subsidiaries, participating partners, advertising or promotions agencies, employees, officers, agents, directors and the immediate family and household members of the above, and each of their respective affiliated companies, directors, officers, employees, representatives and agents, from any liability whatsoever for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with this NARS contest or with the acceptance, possession, or use of any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injury or death, damage to, loss or destruction of property or privacy, defamation, or portrayal in a false light).

Entrants agree that all rights under Section 1542 of the Civil Code of California ("Section 1542") and any similar law of any state or territory of the United States that may be applicable with respect to the foregoing release are hereby expressly and forever waived. Entrants acknowledge that Section 1542 provides that: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.” The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.

Each entrant waives all rights to claim punitive, incidental, consequential, or any other damages and agrees that all causes of action arising out of or connected with this contest, or any prize awarded, shall be resolved individually, without resort to any form of class action. By entering, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with this contest, shall be governed by, and construed in accordance with, the laws of State of New York without giving effect to any choice of law or conflict of law rules. By entering, entrants consent to the jurisdiction and venue of the federal, state and local courts located in New York, New York for the resolution of any and all disputes arising out of entrants participation in this contest.

Taxes and Substitution

All federal, state and local taxes on the prize are the sole responsibility of the winners. No substitutions or other alternative is available, except that NARS may substitute a prize of equal or greater value should a prize item become unavailable.

Winner Publicity

NARS and its affiliates and retailer partners (“NARS Affiliates and Partners”) may wish to publish the first name, first letter of last name, likeness and location (city/state) of the Winner, and any quotation that the Winner is willing to provide on the website or for public relations use in other media, and by accepting a prize, the Winner expressly authorizes NARS and the NARS Affiliates and Partners to use, reproduce, distribute and publicly display his or her name, likeness and location in connection with the promotion of this or any other Contest or Sweepstakes, or in connection with the promotion of NARS, except where such requirement is prohibited by law.

WINNER SELECTION AND NOTIFICATION/VERIFICATION

Winner(s) will be selected in a random drawing from all eligible entries received on or about August 2, 2023. Odds of winning the Sweepstakes depend on the total number of entries received. The potential prize recipient will be notified by the Sponsor via the email address used to enter. The potential prize recipient must then reply to Sponsor through email. The potential prize recipient will be required to contact Sponsor via the email address (customerservice@narscosmetics.com) within seven (7) days of attempted notification. The potential prize recipient may be required to demonstrate control of the email address. Sponsor is not responsible for any change of email address, mailing address, and/or telephone number of entrants. In the event of non-compliance with these Official Rules, or if a prize notification or prize is unclaimed or returned as undeliverable, the prize will be forfeited and may be awarded to an alternate winner at Sponsor’s sole discretion.
